Terms of Service

1. About these terms
These Terms of Service apply to all consulting, training, and simulation engagements delivered by SocialChicken (Christiaan Verhoef, Netherlands) to clients worldwide. By entering into an engagement with SocialChicken, you agree to these terms.
These terms apply to all service formats: in-person, virtual, and blended delivery.
2. Services
SocialChicken provides three categories of service:
- ●Agile Working Training: facilitated programs using serious games, Scrum adoption, and Kanban implementation.
- ●Innovation Consulting: structured problem identification, root cause analysis, automation audits, and solution design.
- ●Simulations and Games: facilitated serious games, digital simulation environments, and custom game design.
The exact scope, format, deliverables, and pricing for each engagement are agreed in a written proposal before work begins. The proposal takes precedence over these general terms where they conflict.
3. Engagement process
Every engagement begins with a free discovery call. No work is commenced and no fees are due until a written proposal has been agreed by both parties. Agreement may be communicated by email.
SocialChicken reserves the right to decline engagements that are not a suitable fit.
4. Payment terms
Unless agreed otherwise in the proposal:
- ●A 50% deposit is invoiced upon agreement and is due before work begins.
- ●The remaining 50% is invoiced upon delivery and is due within 30 days of the invoice date.
- ●Multi-week engagements may be invoiced in milestones as agreed in the proposal.
- ●Travel costs for in-person delivery outside the Netherlands are quoted separately and invoiced at cost.
Invoices are issued in EUR unless USD is agreed in writing. Applicable Dutch VAT (BTW) will be added where legally required.
5. Cancellation and rescheduling
For single-session engagements (e.g. Agile Kickstart, game session):
- ●Cancellation or rescheduling with more than 7 days notice: no charge, deposit transferred to new date.
- ●Cancellation with 3 to 7 days notice: 50% of the session fee is charged to cover preparation costs.
- ●Cancellation with less than 3 days notice: 100% of the session fee is charged.
For multi-week programs, cancellation terms are agreed in the proposal. SocialChicken will provide reasonable notice if unforeseen circumstances prevent delivery and will offer a rescheduled date or a proportional refund.
6. Intellectual property
Deliverables created specifically for you as part of an engagement (reports, frameworks, custom game assets) become your property upon receipt of full payment.
SocialChicken retains all rights to its underlying methodologies, facilitation frameworks, game mechanics, simulation environments, and general intellectual property developed independently of the engagement. This includes tools such as the Value Chain Hackers platform and the Triple Layer Business Model Canvas.
You may not resell, license, or train others in SocialChicken's proprietary methodologies without written permission.
7. Confidentiality
SocialChicken treats all client information shared during an engagement as confidential. We do not disclose client identities, strategies, or outcomes to third parties without written consent.
Case studies published on this website anonymise client and sector details unless you have explicitly agreed to be named.
8. Limitation of liability
SocialChicken provides consulting, training, and facilitation services. Decisions made by clients on the basis of our work remain the client's responsibility. We cannot be held liable for the outcomes of decisions informed by our engagement.
Our total liability for any claim arising from an engagement is limited to the fees paid for that specific engagement.
9. Governing law and disputes
These terms are governed by Dutch law. In the event of a dispute, we will first attempt to resolve the matter through direct conversation. If that is not successful, disputes will be submitted to the competent court in the Netherlands.
